Upstate Shredding Breaks off Negotiations to Acquire Brenner Recycling

Owego, N.Y.-based scrap metal firm had announced plans to acquire Pennsylvania scrap metal recycler in February 2011.

Upstate Shredding – Ben Weitsman & Son, headquartered in Owego, N.Y., has discontinued its planned acquisition of Brenner Recycling Inc., Hazelton, Pa. The deal was originally announced Feb. 7, 2011, with closing expected by April 1, 2011. However, according to Brenner Recycling, Upstate halted discussions toward the start of April.

According to a local news article, the delay in closing was because of Upstate Shredding’s inability to obtain a full environmental audit of Brenner Recycling’s operations, which the company requires before completing acquisitions.
When Upstate Shredding first announced plans to acquire Brenner, Upstate Shredding Vice President Steve Green said, “This is by far our largest acquisition, a major facility with a well-established business and excellent reputation.” Green said Upstate Shredding planed to upgrade the facility and trucking fleet and to change the nature of the business from a retail buyer of scrap metals to include wholesale business as well.
With the halting of the acquisition, the third-generation, family-owned business will remain with the Brenner family. In operation since 1925, Brenner Recycling buys retail and industrial scrap iron as well as non-ferrous, cardboard and paper.
“Given current circumstances, it appears we will be unable to come to mutually acceptable terms, but the Brenner family is very pleased to be able to preserve the heritage and tradition of a long-standing local family business, “says Paul Brenner, president of Brenner Recycling.
“Our goal is to be able to continue to serve Hazleton and the larger northeastern Pennsylvania community with the integrity and commitment to service for which we have become known,” he adds.
