<p><B>McClain Acquires Benlee</B>

McClain Industries announced an agreement in principle to purchase all of the outstanding capital stock of Benlee Inc. The purchase is subject to, among other matters, due diligence being completed prior to the definitive agreement being accepted and signed.

Benlee, Inc. is a manufacturer of roll-off trailers used in the scrap metal industry. Benlee also sells roll off containers to the scrap and refuse industries.

McClain Industries manufactures solid waste handling equipment and transportation equipment for the waste disposal and recycling industry and of a diversified line of dump truck bodies.
